Terms of Service.
These Terms of Service ("Terms") govern access to and use of the Krawlr platform ("Krawlr" or the "Service"), operated by Krawlr, LLC ("Company," "we," or "us").
Acceptance & Authority
By accessing or using the Service, you represent that you have the authority to bind the entity you represent and agree to these Terms on its behalf.
If you do not agree to these Terms, do not use the Service.
Description of the Service
Krawlr provides tools that collect, process, analyze, and transform internet-accessible data to generate insights regarding organizations' digital presence, products, competitors, and ecosystem exposure.
Krawlr:
- Accesses publicly available web resources by default
- Does not access private, password-protected, or restricted systems unless expressly authorized by the customer
- Does not circumvent technical access controls or security mechanisms
- Where a customer explicitly provides credentials, access tokens, API keys, or other authentication mechanisms, Krawlr may access systems owned or controlled by the customer, or systems for which the customer is otherwise authorized to grant access, solely for purposes defined by the Service.
The Service is provided for informational and analytical purposes only.
Customer-Authorized Access
If a customer provides credentials or other access mechanisms to Krawlr, the customer represents and warrants that:
- It has full legal right, authority, and permission to grant such access
- Such access does not violate any applicable law, regulation, contract, or third-party terms
- Any data accessed through such credentials may be processed by Krawlr in accordance with these Terms
The customer acknowledges and agrees that:
- Krawlr relies solely on the customer's authorization and representations
- The customer assumes all responsibility and liability arising from such access
- Krawlr has no obligation to independently verify the customer's authority
The customer agrees to defend, indemnify, and hold harmless Krawlr from any claims arising out of or related to customer-authorized access.
Data Ownership & Rights
All data collected, generated, aggregated, enriched, classified, transformed, or derived through the Service are and shall remain the exclusive property of Krawlr, LLC. No ownership rights are transferred to the customer under these Terms.
Subject to an active subscription and compliance with these Terms, Krawlr grants the customer a limited, non-exclusive, non-transferable, revocable license to access and use Krawlr Data solely for internal business purposes.
Third-Party Disclaimer
Krawlr does not control third-party websites or systems and does not guarantee accuracy, completeness, legality, permission status, or continued availability of source data. Customers assume all risk associated with their use of analyzed or exported data.
No Advice; No Reliance
The Service and all outputs are informational only and do not constitute legal, financial, regulatory, or professional advice. Customers are responsible for independent validation before reliance.
Security
Krawlr maintains commercially reasonable administrative, technical, and organizational safeguards designed to protect data processed by the Service. No system can guarantee absolute security.
Confidentiality
Each party agrees to protect non-public, confidential information disclosed in connection with the Service and to use it solely as permitted under these Terms.
Availability
The Service is provided on an "as available" basis. No service level agreement (SLA) is implied unless expressly agreed in writing.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KRAWLR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. Our total liability is limited to the amount paid by you in the twelve months preceding the event.
Indemnification
Customer agrees to defend, indemnify, and hold harmless Krawlr, LLC from claims arising from customer's use or misuse of the Service, customer-authorized access, or use of exported data.
Termination
Either party may terminate access upon written notice. Upon termination, access ceases and surviving provisions remain in effect.
Governing Law
These Terms are governed by the laws of the State of Delaware, USA.
